This agreement (the "Agreement") sets forth the terms and conditions under which you may access and use intron014.com and all related webpages (collectively, the "Site"). By accessing or using the Site, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you may not access or use the Site.

1. Ownership and Use of Site Content. The Site and all of its content, including but not limited to text, images, logos, software, audio and video materials (collectively, the "Content") is owned by I014 Corp. or its licensors and is protected by copyright and other intellectual property laws. You may access and use the Site and its Content for your personal, non-commercial use only. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content without the express written permission of I014 Corp.

2. User Contributions. The Site may permit you to submit, upload, publish or otherwise make available content, including but not limited to text, photographs, videos, and audio (collectively, "User Contributions"). You retain all rights in and to your User Contributions and are responsible for the legality, reliability, accuracy, and appropriateness of your User Contributions. By making any User Contributions, you grant I014 Corp. a perpetual, non-exclusive, worldwide, royalty-free, sub-licensable and transferable license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Contributions in all formats and distribution channels now known or hereafter devised (including in connection with the Site and I014 Corp.'s business and on third-party sites and platforms), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

3. User Conduct. You agree to use the Site only for lawful purposes and in accordance with this Agreement.

4. Disclaimer of Warranties.The Site is provided on an "as is" and "as available" basis. I014 Corp. makes no representations or warranties of any kind, express or implied, as to the operation of the Site or the information, content, materials, or products included on the Site. You expressly agree that your use of the Site is at your sole risk.

5. Limitation of Liability. In no event shall I014 Corp. be liable for any damages whatsoever, including, but not limited to, direct, indirect, incidental, special, punitive, or consequential damages, or damages for loss of use, profits, data, or other intangibles, or the cost of procurement of substitute goods and services, arising out of or related to the use, inability to use, unauthorized access to or use, or termination of the Site, or any portion thereof, or any Content or User Contributions, or your reliance on any Content or User Contributions appearing on the Site, whether based on warranty, contract, tort, or any other legal theory, and whether or not I014 Corp. is advised of the possibility of such damages.

6. Indemnification. You agree to indemnify, defend, and hold harmless I014 Corp., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, agents, successors, assigns, content providers, and other partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) use of the Site, or User Contributions submitted by you, or your violation of this Agreement.

7. Modifications to Site and Agreement. I014 Corp. reserves the right to modify, suspend, or discontinue the Site, or any portion thereof, at any time, with or without notice to you. I014 Corp. may also modify this Agreement at any time, and such modifications shall be effective immediately upon posting of the modified Agreement on the Site. Your continued access or use of the Site shall be deemed your conclusive acceptance of the modified Agreement.

8. Termination. I014 Corp. may terminate this Agreement and your use of the Site at any time, with or without cause, with or without notice, effective IMMEDIATELY.
